Terms and Conditions
1. General
These Terms and Conditions apply to all services provided by Studio K (“we”, “us”, “our”).
By engaging Studio K’s services, you agree to be bound by these Terms and Conditions.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Studio K and supersede all prior agreements or understandings.
No variation to these Terms shall be effective unless agreed in writing.
Studio K reserves the right to update these Terms from time to time. The latest version will always be available on our website.
All personal data will be processed in accordance with our Privacy Policy.
2. Project Acceptance
Following your enquiry, a written quotation will be provided by email outlining the scope of work and fees.
Work will not commence until written acceptance of the quotation has been received.
3. Fees & Payment
3.1 Deposit
Unless otherwise agreed in writing, a non-refundable deposit of 50% of the quoted fee is required prior to commencement of work, payable within 48 hours of invoice date to secure your booking.
3.2 Invoice & Payment Schedule
Studio K will issue invoices as follows:
Deposit invoice – upon acceptance of the quotation
Final invoice – upon completion of the project or agreed milestones
The remaining balance is due within 14 days of the invoice date, and must be paid before final files are released or work is published.
3.3 Payment Methods
Payments must be made via bank transfer unless otherwise agreed.
3.4 Late Payment
If payment is not received within 14 days of the final invoice date, we reserve the right to:
Suspend ongoing work until payment is received;
Withhold final deliverables; and
Charge interest on the overdue amount at the statutory or legal rate applicable in your jurisdiction.
You will also be responsible for all reasonable costs incurred in recovering overdue payments, including legal and collection fees.
4. Scope of Work & Amendments
The agreed scope of work, deliverables, and file formats will be detailed in your quotation.
The quotation includes up to two rounds of revisions per deliverable. A revision is defined as a consolidated set of changes provided at one time. Any additional revisions beyond the included rounds, or changes outside the original project scope, may incur extra charges at Studio K’s standard rates, which will be agreed in writing before work proceeds.
If the original brief changes after work has commenced, Studio K may issue a revised quotation reflecting any additional fees, time, or resources required.
Studio K accepts no responsibility for amendments or alterations made by third parties after final files have been delivered.
Clients are responsible for providing timely, clear, and consolidated feedback during each revision round to avoid delays or additional charges.
5. Rush Work & Premium Rates
Rush fees may apply where work is required on an expedited basis (including same-day, next-day or weekend work). Any applicable fees will be communicated in advance.
6. Third-Party Costs
Third-party licences, including stock imagery, fonts and specialist software, are not included unless stated.
Where Studio K purchases licences on your behalf, these costs will be added to your invoice.
You are responsible for obtaining appropriate font licences where required.
7. Intellectual Property
7.1 Ownership
All design work, concepts, and creative materials produced by Studio K remain the sole property of Studio K and are protected by copyright. Upon full payment, the client is granted a non-exclusive, worldwide, perpetual licence to use the final approved design for their internal and external business purposes, including marketing, advertising, and promotional materials. The client may not resell, sublicence, or distribute the design to third parties without prior written consent from Studio K.
The client shall not claim authorship of the work or modify it in any way that could prejudice Studio K’s reputation without prior written consent.
7.2 Unused Concepts
All preliminary concepts, drafts, and unused designs remain the exclusive property of Studio K and may not be used by the client without permission.
7.3 Source Files
Source/native files (e.g. AI, PSD, INDD files) are not included unless agreed in writing. Release of source files may be subject to an additional buy-out fee.
8. Client Responsibilities
You confirm that:
You hold the necessary rights and permissions for all materials supplied to Studio K.
All content provided is lawful and does not infringe copyright, trademark or other rights.
You are responsible for checking brand names and trademarks prior to publication.
You agree to indemnify Studio K against any claims arising from materials supplied by you.
9. File Storage
Studio K may retain project files for up to three years following completion but is under no obligation to store files beyond final delivery.
We accept no responsibility for loss of files or data after final handover. Clients are responsible for maintaining their own backups of delivered files.
10. Third-Party Suppliers
We may engage trusted third-party suppliers (including printers, developers and subcontractors).
While we will liaise to resolve any issues, Studio K is not liable for errors, delays or costs arising from third-party services.
All such services are subject to the supplier’s own Terms and Conditions.
11. Portfolio Rights
Studio K reserves the right to display completed work within our portfolio, website and social media for promotional purposes unless otherwise agreed in writing.
12. Cancellation
Cancellation must be made in writing.
The initial 50% deposit is non-refundable.
If a project is cancelled after work has commenced, you will be invoiced for all work completed up to the date of cancellation. Outstanding balances must be paid within 30 days.
13. Force Majeure
Studio K shall not be liable for delay or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to illness, technical failure, acts of God, government restrictions or third-party disruption.
14. Limitation of Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
Subject to this, Studio K’s total liability arising out of or in connection with any project shall not exceed the total fees paid for that project.
Studio K shall not be liable for indirect or consequential loss, loss of profit, loss of business or loss of opportunity.
15. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Business Clients
Studio K primarily provides services to business clients. Where you are acting as a consumer, your statutory rights remain unaffected.
